Terms of Service
Effective August 24, 2026 · See also the Privacy Policy
These terms govern your use of the Properly app and its public guidebook pages. In these terms, “Properly” and “we” mean the person or business operating the service. By creating an account or using Properly you agree to them. If you are using Properly for a company, you confirm you have the authority to accept these terms for it, and “you” means the company as well.
1. What Properly is
Properly is a month-end close workspace for vacation rental property management companies. It imports data exported from your property management system, helps you review expenses and invoices, prepares owner statements, sends finished documents to owners by email, and publishes guest guidebooks.
Properly is software, not an accounting, tax, or legal service. It helps you assemble and send documents; you remain responsible for reviewing every statement, the numbers in it, and what you send to owners.
2. Accounts and companies
- You sign in through our sign-in provider. Keep your credentials to yourself and tell us if you think an account has been compromised.
- Each company is a workspace. The company’s owners control who is on the team and what role each person has; restricted members cannot see financial data.
- You are responsible for what happens under your account and for the people you add to your company.
- You must be at least 18 and using Properly for business purposes.
3. Your data and content
Everything you put into Properly — property details, owner contacts, financial documents, imported files, photos, guidebook text — stays yours. You give us permission to store, process, display, and transmit it only as needed to provide the service to you, including sending documents to the owners you choose.
You are responsible for having the right to use the information you enter, including owner contact details and any data exported from other systems.
When you import spreadsheets or invoice PDFs, Properly uses an AI provider to read them and suggest rows and property matches. Suggestions are shown for your review; you decide what becomes part of a statement. AI reading can be wrong, and checking it is part of your close.
4. Sending documents to owners
When you send a statement, Properly emails it from hello@getproperly.app using your company’s name as the sender, and records what was sent, to whom, and the delivery outcome reported by our email provider. Before you send, you confirm you are entitled to email each recipient and that the document is correct. Marking a statement as sent without emailing it is your record only; Properly does not deliver anything in that case.
5. Guidebooks
A published guidebook is visible to anyone with its link, with no sign-in. Publish only what you are comfortable sharing with guests. You can unpublish a guidebook or change its link at any time, which makes the old link stop working.
6. Acceptable use
- Do not use Properly for anything unlawful, or to send documents to people who have not agreed to receive them.
- Do not try to access another company’s data, probe or overload the service, or get around roles, limits, or security measures.
- Do not copy, resell, or reverse-engineer Properly, and do not upload malicious code.
- Do not use the Assistant or import features to process content you do not have the right to use.
We may suspend or remove access that breaks these rules, and we will tell you why unless the law prevents it.
7. Fees
Properly is currently offered on terms agreed directly with each company. Nothing is charged automatically inside the app. Any fee is stated in writing before it applies, and we will give you notice before we start charging for something that was free.
8. Availability, changes, and beta features
We work to keep Properly available and reliable, but we do not promise uninterrupted service. We may change or retire features; if a change removes something you depend on for your close, we will give reasonable notice. Features marked Beta — including the Assistant — may change, be limited, or be removed at any time.
9. Ending the agreement
You can stop using Properly at any time. To close a company workspace or delete your account, email hello@getproperly.app; before deletion you can export your owner statements from the app, and we will tell you when your data has been removed. We may end or suspend the agreement if you break these terms or if we discontinue the service, in which case we will give you a reasonable opportunity to export your data.
10. Disclaimers
Properly is provided “as is”. We do not guarantee that imported data, AI suggestions, or generated statements are complete or accurate — they depend on the data you provide and the systems it comes from — and we do not guarantee that emails will be delivered or read by their recipients. To the extent the law allows, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
11. Limitation of liability
To the extent the law allows, Properly is not liable for indirect, incidental, or consequential losses, or for lost profits or data, arising from your use of the service. Our total liability for any claim is limited to the greater of the fees you paid us in the twelve months before the claim and one hundred US dollars.
You agree to cover us for claims by third parties that arise from content you put into Properly or documents you send with it, except to the extent we caused the problem.
12. Resolving disputes
If we have a dispute, we will first try to resolve it informally — email hello@getproperly.app with a description of the issue and we will respond. This does not prevent either side from using any rights or remedies available under applicable law.
13. Changes to these terms
When we change these terms we will post the new version here with a new effective date. For material changes we will also tell signed-in users inside the app or by email. Continuing to use Properly after the effective date means you accept the new terms.
